an initial delivery of 1,500 of a total order of 5,000 units from Wintergreen

will provide its patented Com-Guard Pro? hardware and data-secure software
product to Wintergreen Systems, to manufacture the combined Com-Guard Pro?
hardware and data-secure software and personal computer into the "Com-Guard
XP2400 SecurePC" product for delivery to TigerDirect.com.
These systems will include the anti-theft patented Com-Guard Pro? hardware and
data-secure software. The XP2400 SecurePC? personal computer systems will be
sold and supported by Wintergreen Systems under the brand name "Com-Guard
XP2400 SecurePC" and distributed by TigerDirect.com (www.tigerdirect.com), a
subsidiary of Systemax Inc. (NYSE:SYX), and its subsidiaries Infotel, Misco and
Global Computer Supply. Wintergreen Systems will also offer the Com-Guard
XP2400 SecurePC? to its customer base that includes mass merchants, corporate
accounts and catalog resellers.
