Disney Board May Decide Today to Oust Eisner as Chairman

PHILADELPHIA -- With Michael Eisner facing the possible loss of his chairmanship of Walt Disney Co. (NYSE
IS - News) , the campaign to oust him from the company altogether neared its zenith here Tuesday and may have entered the Twilight Zone.
Several thousand shareholders are expected at today's annual meeting amid an atmosphere of acrimony personified by the Disney chairman and chief executive on one side and, on the other, his his two main critics, dissident ex-directors Roy E. Disney and Stanley Gold. People close to the company say that up to 40% and perhaps more of voting shareholders may withhold their support for re-electing Mr. Eisner to the Disney board, an outcome that could ultimately lead to the stripping of his chairman's title or even greater repercussions.
The decision to remove Mr. Eisner's chairman's title could come as soon as today, when the board meets after what is expected to be a long annual meeting, people close to the situation said. That would signal that the board has heard the shareholder outcry and acted. Disney also had a board dinner scheduled last night, but it was unclear whether it would formally address the move, which isn't yet a certainty.
Overall, the idea is to make a big concession to the shareholder outcry without removing Mr. Eisner as chief executive, which some fear would destabilize Disney as it faces an unsolicited takeover offer from Comcast Corp. (NasdaqNM:CMCSK - News)
