Microchip is offering to pay $5 per share for Atmel, which makes special-purpose computers called microcontrollers along with analog and digital processors, memory chips and wireless chips.
It would meld Atmel's microcontroller business into its own operations, which build electronic components for a range of industries including the communications and automotive sectors
